Terms and Conditions for the Use of Stripe Terminals with Handbid
1. Introduction
These Terms and Conditions ("Terms") govern the use of Approved Payment Methods (defined below) with the Handbid Platform. These Terms apply to Handbid, Inc. ("Handbid"), each Customer, and the Customer's Authorized Users. By enabling or using an Approved Payment Method with the Handbid Platform, Customer and its Authorized Users agree to these Terms, the Handbid Master Services Agreement available at https://www.handbid.com/legal/msa together with any applicable Order (the "Agreement"), the Integrated Payment System Policy available at https://www.handbid.com/legal/ips-policy (the "IPS Policy"), and any terms Customer has accepted with Stripe and, for Tap to Pay, Apple or Google. Capitalized terms not defined here have the meanings given in the Agreement. If these Terms conflict with the Agreement or the IPS Policy, the Agreement or the IPS Policy controls.
2. Definitions
Approved Payment Method: A Terminal or Tap to Pay, in each case as identified in Handbid's help center at https://help.handbid.com/stripe-terminals/.
Authorized Users: For these Terms, this term also includes anyone Customer permits to operate an Approved Payment Method, including a bidder granted Mobile Device Check-In permission.
Terminal: A Stripe-approved physical card reader that connects to the Handbid Platform and captures payment card data by tap, insertion, or swipe.
Tap to Pay: The feature in the Handbid apps for iPhone and Android, supported by Stripe and by Apple or Google, that lets a compatible mobile device capture contactless cards without a separate reader.
Cardholder Data: Has the meaning given in the Payment Card Industry Data Security Standard (PCI DSS): the primary account number (PAN), together with the cardholder name, expiration date, and service code when they are stored, processed, or transmitted with the PAN. Sensitive authentication data, such as the card security code (CVC), is also subject to these Terms.
3. Acceptance of Terms
Use of an Approved Payment Method is conditioned on compliance with these Terms, the Agreement, the IPS Policy, and any applicable Stripe, Apple, and Google terms. Customer is responsible for its Authorized Users' compliance.
4. Use of Approved Payment Methods
Permitted Use: Approved Payment Methods may be used only through the Handbid Platform to capture payment card data directly to Stripe, in order to save a card on file for later charges related to Customer's Events.
Restrictions: Customer and its Authorized Users will not use an Approved Payment Method, or any payment card data, outside the Handbid Platform or for any unauthorized purpose. Handbid is not responsible for unauthorized use or misuse by Customer, its Authorized Users, or third parties under Customer's control.
Consent: Customer is responsible for obtaining any End User consent required to capture a card, save it on file, and charge it, including the consent described in the IPS Policy.
Cardholder Data: Card data captured through an Approved Payment Method is encrypted and transmitted directly to Stripe, which returns a token to Handbid. Handbid does not receive or store full Cardholder Data or sensitive authentication data. Handbid stores the token and limited card details, such as card brand, last four digits, expiration date, and name, so the card can be identified and used for future transactions.
5. Purchasing and Payment
Customers must purchase Terminals directly from Stripe. Any fees for using Approved Payment Methods with Handbid are stated in the applicable Order. Customer is responsible for all taxes, shipping costs, and other fees associated with purchasing Terminals.
6. Rental, Maintenance, and Storage
Rental: Handbid does not rent or loan Terminals.
Storage and Maintenance: Customer must store Terminals securely, control physical access to them, and follow Stripe's maintenance and handling guidelines, including inspecting devices for tampering.
7. Software and Updates
Customer must install all required firmware and app updates for Approved Payment Methods. Some Terminals receive software updates automatically from Stripe, and Handbid may initiate Terminal firmware updates through the Handbid apps. Handbid is not responsible for update failures or Terminal malfunctions caused by the Terminal hardware, Stripe, or the device operating system. Customer and its Authorized Users may not disassemble, reverse engineer, or otherwise tamper with Terminals.
8. Data Security and Privacy
Customer and its Authorized Users are responsible for the physical security of payment cards presented at their Events.
Customer and its Authorized Users may not write down, photograph, or otherwise record or store Cardholder Data or sensitive authentication data in any form. They may not use a card or device presented at an Event to collect any other personal information of End Users, except through the Handbid Platform's guest registration and checkout.
The Handbid Privacy Policy, available at https://www.handbid.com/legal/privacy-policy, describes how Handbid handles personal information. Handbid processes Customer Personal Data under the Data Processing Addendum available at https://www.handbid.com/legal/dpa. Customer is solely responsible for its own PCI DSS compliance, as stated in the IPS Policy.
9. Disclaimers and Limitation of Liability
Terminals are manufactured and supplied by Stripe or its suppliers, and Tap to Pay depends on services provided by Stripe, Apple, and Google. Handbid makes no warranty regarding Terminals, mobile devices, or third-party payment services. The warranty disclaimers and limitations of liability in the Agreement apply to these Terms and to any use of Approved Payment Methods with the Handbid Platform. Customer is responsible for the use of Approved Payment Methods by its Authorized Users and at its Events.
10. Term, Termination, and Changes
These Terms remain in effect for as long as Customer has an active Agreement with Handbid and uses the Handbid Platform. Obligations concerning Cardholder Data and End User information survive for any data obtained during that time. Handbid may update these Terms by posting a revised version with a new "Last updated" date. Non-material updates take effect when posted. Material updates take effect on Customer's next renewal, as the Agreement provides.
11. Governing Law and Dispute Resolution
These Terms are governed by the governing-law and dispute-resolution provisions of the Agreement.
